Note on sec. 134 (3) German Stock Corporation Act ("AktG") (limitation of the number of persons granted power of attorney):

Voting rights can be exercised through a person granted power of attorney. Where the shareholder empowers more than one person, the Company is entitled to reject one or more persons empowered. The granting of power of attorney, its rescinding and proof of power of attorney must be given in writing unless the Company's Articles or the formal notification to convene a General Meeting state otherwise where the Articles so provide, or in the case of a publically listed company, where no easing of the rule has been adopted. A publically listed company must provide at least one means of communicating electronically through which proof of power of attorney can be transmitted. Where the Company empowers several voting representatives (proxies), the declaration must be archived for verification purposes by the Company for a period of three years; sec. 135 (5) applies accordingly.

The stability and availability of the Internet-based proxy voting system (granting of power of attorney via the Internet) used by our Company for its General Meetings, while state-of-the-art, is subject to fluctuation. Francotype-Postalia Holding AG has no influence over the availability and correct functioning of the telecommunication networks or related services provided by third parties. Francotype-Postalia Holding AG therefore cannot accept any claims for warranty or liability in connection with the correct functioning, availability or stability of the Internet-based proxy voting system, nor with regard to access to that system or for those parts of the network provided by third parties.
